Investment Application
In order to apply for investment, companies shall fulfill a common formalities “Checklist”, as follows:

Company’s Articles of Association

Project feasibility study

Application for investment

Copies of passports or identification cards

Criminal records of foreign shareholders

Photo identification of shareholders

Documents certifying locations (ownership, lease, concession contract, plan and location map)

Certificate certifying deposit of capital at least 25% of registered capital issued by a local bank

In case shareholders are legal entities, they shall enclose :
- Certificate of commercial registration of the said legal entity
- Certificate of appointment of legal entity’s representative
- Copies of identification card/passport of legal entity’s representative
- 4 x 6 size photo of legal entity’s representative

Certificate of Conditional Registration
After investors have filled out the above formalities, the Secretariat of the Phnom Penh Investment Sub-Commission shall thoroughly examine these documents.
If these documents are appropriate, the Phnom Penh Investment Sub-Commission shall issue the Certificate of Conditional Registration by notifying the applicant that the investment has been approved within a period of three workdays.
Note: During this period, the applicant shall pay a sum of 7,000,000 riels (around $1,750 US dollars) for the said investment registration and the said fund shall be the State’s revenueRegistration
Phnom Penh Investment Sub-Commission has to notify relevant institutions in order to perform their duties such as :

The Department of Environment shall arrange necessary papers to enter into environmental protection contracts

The Department of Commerce shall be responsible for commercial registration

The Department of Industry shall issue investment authorization

The Tax Department shall be responsible for tax registration (patent tax, stamp duty and stamp tax)
After all relevant departments have completely performed their duties within a period of 28 workdays, the Phnom Penh Investment Sub-Commission shall issue
the Certificate of Final Registration.

Thereafter, we shall arrange the documents to be forwarded to the CDC in order to request incentives.
